Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the CloudTMS web application at cloudtms.io and the “CloudTMS Driver” mobile application (collectively, the “Service”), provided by CloudTMS LLC, a Wisconsin limited liability company (“CloudTMS”, “we”, “us”, “our”).
By creating an account or using the Service you agree to these Terms. If you are using the Service on behalf of a motor carrier or other organization (“Carrier”), you represent that you have authority to bind that organization, and “you” refers to that organization.
1. The Service
CloudTMS is a multi-tenant transportation management platform for trucking carriers. It provides dispatch, load tracking, settlements, billing, fuel and toll tracking, compliance alerts, document storage, and a companion mobile app for professional truck drivers operating for those carriers.
2. Accounts & users
A Carrier's administrator provisions individual user accounts for dispatchers, drivers, accounting staff, and other team members. Each user is responsible for maintaining the confidentiality of their credentials and for all activity under their account. Notify us immediately at security@cloudtms.io if you suspect unauthorized access.
3. Subscriptions, billing & the 30-day free trial
New CloudTMS accounts include a 30-day free trial. No credit card is required to start the trial; you can use every feature in the plan you signed up for for 30 days at no charge. We send reminder emails on day 20 and day 27. If you do not choose a paid plan by the end of day 30, the account is locked but your data is preserved for 30 additional days so you can still re-subscribe and resume.
Paid plans are billed monthly through Stripe. The Carrier's billing administrator authorizes the charge at checkout. Subscriptions renew automatically until cancelled from Settings → Billing. Cancellation takes effect at the end of the current billing period.
Refund policy. We do not refund partial months. If you cancel mid-cycle, your account stays active through the end of that cycle. If a charge was made in error (duplicate billing, system glitch), email legal@cloudtms.io within 60 days and we will issue a refund.
Pricing is published at cloudtms.io/pricing and may change with 30 days' notice. Existing subscribers keep the price they signed up at for at least one renewal cycle after a price change is announced.
4. Acceptable use
You agree not to:
- Use the Service to violate any law or regulation, including DOT, FMCSA, or IRS rules.
- Attempt to circumvent multi-tenant isolation or access another carrier's data.
- Reverse-engineer, decompile, or scrape the Service except as expressly permitted by law.
- Use the Service to send unsolicited messages or to harass any user.
- Upload malware, phishing payloads, or content that infringes third-party rights.
- Interfere with or disrupt the Service, including stress-testing without prior written consent.
We may suspend or terminate access for material breach. Where practical we will give notice and an opportunity to cure first.
5. Customer data & privacy
You retain ownership of the data you submit to the Service (load records, customer information, driver and vehicle files, documents, messages, and operational records). You grant us a limited, non-exclusive license to host, process, and transmit that data solely to operate the Service for you. We process data in accordance with our Privacy Policy, which is incorporated into these Terms by reference.
Your Carrier is the data controller for personal data of its drivers, dispatchers, and other end users. CloudTMS acts as a data processor on the Carrier's behalf.
6. Mobile app permissions
The CloudTMS Driver mobile app requests location, camera, photo library, and notification permissions strictly to perform its function. Location is captured only at pickup, loaded, and delivery events — not continuously in the background. Camera is used to capture freight documents (BOL, POD, lumper receipts). 7. Third-party services
The Service integrates with third parties such as Stripe (billing), AWS (hosting and storage), Resend (email), Pusher (real-time), Sentry (diagnostics), Apple/Google push services, QuickBooks Online, Samsara, and Motive. Your use of these third-party services is governed by their own terms and privacy policies. We are not responsible for the availability, content, or actions of third parties beyond the integration surface we ship.
8. Service availability
We aim to keep the Service available 24/7 but do not guarantee uninterrupted access. Scheduled maintenance, third-party outages, and force-majeure events may cause downtime. Live status is at status.cloudtms.io.
9. Intellectual property
The Service, including its software, design, branding, and documentation, is owned by CloudTMS LLC and protected by intellectual-property laws. We grant you a limited, non-transferable, non-exclusive right to use the Service while your subscription is active. No other rights are granted by implication.
10. Confidentiality
Each party will protect the other's non-public information disclosed in connection with the Service with at least the same standard of care it uses for its own confidential information, and will use it only to perform under these Terms.
11. Disclaimers
The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. CloudTMS is a software tool — it does not replace your obligations as a motor carrier to comply with DOT, FMCSA, IFTA, IRS, and other applicable rules.
12. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, or lost data, even if advised of the possibility. Our total liability arising out of or related to these Terms will not exceed the fees you paid us for the Service in the twelve months immediately preceding the event giving rise to the claim.
13. Indemnification
You will defend, indemnify, and hold harmless CloudTMS LLC from third-party claims arising out of (a) your data or its use within the Service, (b) your breach of these Terms, or (c) your violation of applicable law. We will defend, indemnify, and hold you harmless from third-party claims that the Service as provided by us infringes their intellectual property rights.
14. Termination
You may cancel at any time from Settings → Billing. We may suspend or terminate access for material breach or for non-payment after notice. On termination, your right to use the Service ends; your data remains available for export for 30 days unless legal requirements compel earlier deletion.
15. Governing law & disputes
These Terms are governed by the laws of the State of Wisconsin, USA, without regard to its conflict-of-laws rules. The exclusive venue for any dispute not resolved through good-faith negotiation will be the state or federal courts located in Wisconsin.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated via in-app notice and email at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
